THRESHOLDS.TRADE ("Thresholds," "we," "us," or "our").
These Terms of Service (the "Terms") govern your access to and use of the Thresholds managed mining operations service ("MMaaS"), including related websites, dashboards, support channels, reports, and associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Scope
Thresholds provides MMaaS. The Service may include account administration, provisioning coordination, operational monitoring, support handling, reporting, record export, and related administrative or technical assistance.
Thresholds does not sell investment advice, brokerage services, securities, banking services, or guaranteed financial returns. Thresholds does not promise profitability, yield, uptime, payout timing, or any particular economic outcome.
2. Eligibility and Authority
You represent and warrant that you have the legal capacity and authority to enter into these Terms and, if acting on behalf of an organization, that you have authority to bind that organization.
You must provide accurate, complete, and current information in connection with your account, billing profile, and use of the Service, and you must promptly update such information as necessary.
3. Accounts and Credentials
You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account, except to the extent caused by Thresholds' own breach of these Terms.
You must promptly notify Thresholds of any suspected unauthorized access, compromise, fraud, or misuse involving your account or the Service.
4. Acceptable Use
You may not use the Service in violation of applicable law, regulation, sanction, court order, or third-party rights. You may not use the Service to facilitate fraud, credential abuse, unlawful fund flows, deceptive conduct, or interference with the Service or its providers.
You may not attempt to reverse engineer, probe, disrupt, or circumvent access controls, rate limits, or security measures applicable to the Service, except to the extent such restriction is prohibited by applicable law.
5. Orders, Fees, Billing, and Payment
Fees, billing intervals, payment methods, renewal terms, and included service scope are as stated at checkout, on an order form, or in an applicable plan description incorporated by reference into these Terms.
Unless otherwise stated, fees are quoted exclusive of taxes, duties, levies, or similar governmental charges, which are your responsibility except for taxes imposed on Thresholds' net income.
If payment fails, is reversed, is disputed, or is subject to chargeback, Thresholds may suspend or limit the Service until outstanding amounts and reasonable associated costs are resolved.
Thresholds may change pricing for future billing periods on prior notice, subject to applicable law and any express contractual commitment to the contrary.
6. Third-Party Dependencies
The Service may depend on third-party providers, infrastructure, networks, hosting environments, mining counterparties, payout rails, communications platforms, or software components not controlled by Thresholds.
Thresholds is not responsible for delays, outages, losses, policy changes, suspensions, deprecations, or failures caused by third-party systems or events beyond Thresholds' reasonable control.
7. Support and Operational Handling
Thresholds will provide support and operational handling in accordance with the service tier, plan description, or written service commitments applicable to your account, if any.
Any response targets, service descriptions, or operating practices are goals unless expressly stated as binding service levels in a separate written agreement.
Thresholds may perform maintenance, deploy fixes, rotate vendors, adjust procedures, or temporarily restrict access where reasonably necessary for security, stability, compliance, or service continuity.
8. Customer Responsibilities
You are solely responsible for your business decisions, tax treatment, legal compliance, local regulatory obligations, wallet or payout destination accuracy, and the suitability of the Service for your purposes.
You are responsible for reviewing reports, notices, alerts, invoices, and disclosures made available through the Service or sent to your contact information on file.
9. Risk Disclosure and No Reliance
Your use of the Service is subject to material technical, market, legal, operational, and third-party risks. Those risks include, without limitation, digital asset price volatility, network difficulty changes, hashrate fluctuations, protocol changes, counterparty failure, service interruptions, adverse regulatory developments, and payout delays.
You acknowledge that Thresholds has not made, and expressly disclaims, any representation, warranty, or assurance regarding profitability, performance, appreciation, tax treatment, or fitness for any investment objective. You agree not to rely on the Service as legal, tax, accounting, or investment advice.
10. Suspension and Termination
Thresholds may suspend, restrict, or terminate access to the Service immediately if Thresholds reasonably believes: (a) you have violated these Terms; (b) your use presents security, fraud, legal, or operational risk; (c) payment is overdue; or (d) continued service is impracticable due to third-party, legal, or force majeure circumstances.
You may stop using the Service at any time, but fees already accrued or committed for the then-current billing period are non-refundable except as required by law or expressly stated otherwise.
Upon termination, your right to access the Service ceases, but provisions that by their nature should survive termination will survive, including provisions relating to fees owed, disclaimers, limitations of liability, indemnities, dispute resolution, and record retention.
11. Records and Retention After Termination
Thresholds may retain account, billing, support, operational, and security records for a commercially reasonable period after termination for compliance, audit, fraud prevention, dispute handling, backup, or legal purposes, and may delete or anonymize information thereafter in accordance with its data retention practices and applicable law.
12. Intellectual Property
As between the parties, Thresholds and its licensors retain all right, title, and interest in and to the Service, including all software, interfaces, workflows, designs, text, graphics, reports, compilations, and related intellectual property, except for your data and any rights expressly granted to you.
Subject to these Terms, Thresholds grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal lawful purposes.
13. Confidentiality
Each party receiving non-public information from the other party that is designated as confidential or that should reasonably be understood to be confidential shall use that information only as necessary to perform or receive the Service and shall protect it using reasonable safeguards.
Confidentiality obligations do not apply to information that is or becomes public through no breach, was already lawfully known, is independently developed without use of the other party's confidential information, or is lawfully received from a third party without duty of confidentiality.
14. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. THRESHOLDS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PROFITABLE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRESHOLDS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, DIGITAL ASSETS, OR OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THRESHOLDS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO THRESHOLDS FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations or exclusions, so parts of this section may not apply to you to the extent prohibited by law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Thresholds and its officers, directors, employees, affiliates, contractors, and licensors from and against any third-party claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of applicable law; or (d) your infringement or misappropriation of any third-party rights.
17. Force Majeure
Thresholds will not be liable for any delay, failure, or interruption caused by events beyond its reasonable control, including acts of God, utility or telecommunications failures, cyberattacks, labor disputes, war, civil disturbance, sanctions, epidemics, governmental actions, vendor failures, or network or protocol events.
18. Changes to These Terms
Thresholds may update these Terms from time to time. Material changes will be reflected by an updated effective date and, where required by applicable law, communicated through the Service, by email, or by another reasonable method before taking effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.
